Please read these Terms and Conditions carefully before using the ePropel Digital website or engaging our services. By accessing our website or entering into a service agreement with ePropel Digital Inc., you agree to be bound by these terms.

2. Acceptance of Terms
By using this website or engaging ePropel Digital for services, you confirm that:
- You meet the minimum age requirement described in Section 3 below
- You have the legal authority to enter into a binding agreement
- You have read, understood, and agree to these Terms and Conditions
- If acting on behalf of a company, you have authority to bind that company to these terms
3. Age Requirements
You must be at least 21 years of age, or the minimum legal age required in your jurisdiction, whichever is lower, to use this website or engage our services.
If the minimum legal age in your jurisdiction is higher than 21, that higher age applies. By using this website or our services, you confirm that you meet the applicable age requirement for your location.
ePropel Digital does not knowingly provide services to or collect personal information from individuals who do not meet the applicable minimum age requirement. 4. Services
4.1 Scope of Services
ePropel Digital provides SEO and digital marketing services including but not limited to:
- Technical SEO audits and implementation
- On-page and off-page SEO strategy
- Keyword research and content strategy
- Link building and authority development
- Local SEO and Google Business Profile optimization
- AI search optimization (GEO)
- Competitor analysis and performance reporting
- eCommerce SEO
4.2 Service Agreements
Specific deliverables, timelines, scope, and pricing are defined in individual Service Agreements, proposals, or statements of work provided to each client. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.
4.3 No Guarantee of Results
ePropel Digital does not guarantee specific rankings, traffic volumes, revenue outcomes, or any other performance metrics. SEO is a long-term strategy and results are influenced by factors outside our control including search engine algorithm changes, competitive landscape, client-side implementation, and market conditions. We commit to applying industry best practices and professional expertise to every engagement.
4.4 Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information about their business
- Granting necessary access to website, analytics, and relevant platforms
- Implementing recommendations in a timely manner where applicable
- Ensuring all business activities and content are lawful and compliant with applicable laws
- Reviewing and approving deliverables within agreed timelines
5. Payment Terms
5.1 Fees and Invoicing
All fees for services are outlined in the applicable Service Agreement or proposal. ePropel Digital issues invoices electronically. Payment is due as specified on each invoice. By proceeding with payment, you confirm your agreement to this Service Agreement and our Refund Policy as described in Section 6.
5.2 Canadian Tax
ePropel Digital Inc. is registered for GST/HST purposes in Canada. Applicable taxes will be added to invoices based on the client’s province of residence or place of business:
- HST provinces: 15%
- GST provinces: 5%
Tax identification numbers are included on all invoices as required by the Canada Revenue Agency.
5.3 Payment Processing
ePropel Digital accepts payment via invoice or approved payment links processed through Stripe and Plooto. ePropel Digital does not store, access, or process payment card or banking information directly. All payment processing is handled by our third-party processors in accordance with their respective terms and security standards.
5.4 Late Payment
Invoices not paid within the agreed payment period may be subject to a late payment fee of 2% per month on the outstanding balance. ePropel Digital reserves the right to suspend services for accounts with outstanding overdue balances until payment is received in full.
5.5 Currency
All fees are quoted and invoiced in Canadian Dollars (CAD) unless otherwise specified in writing.
6. Refund and Cancellation Policy
6.1 Monthly Retainer Services
For ongoing monthly retainer engagements:
- Clients may cancel services with 30 days written notice sent to contact@epropel.com
- Fees paid for the current billing period are non-refundable
- No further fees are charged beyond the confirmed notice period once cancellation is acknowledged
6.2 Project-Based Services
For one-time or project-based engagements:
- Deposits paid to commence work are non-refundable once work has begun
- If ePropel Digital is unable to complete the agreed scope due to reasons within our control, a pro-rated refund may be issued for work not yet performed
- Refund requests must be submitted in writing within 14 days of the disputed invoice date
6.3 Exceptional Circumstances
Refunds outside of the above policy may be considered at the sole discretion of ePropel Digital on a case-by-case basis. To request a refund or discuss a billing dispute, contact contact@epropel.com with your invoice number and a description of the issue.
7. Intellectual Property
7.1 Ownership of Deliverables
Upon full payment of all outstanding invoices, ePropel Digital assigns ownership of custom deliverables created specifically for the client (such as content, landing pages, and reports) to the client.
7.2 ePropel Proprietary Materials
ePropel Digital retains ownership of all proprietary frameworks, methodologies, templates, tools, processes, and systems used in delivering services. These are not transferred to clients as part of any engagement.
7.3 Website Content
All content on the ePropel Digital website including text, graphics, logos, and materials is the intellectual property of ePropel Digital Inc. and is protected by Canadian and international copyright law. You may not reproduce, distribute, or use any content without prior written permission.
8. Confidentiality
Both parties agree to keep confidential all non-public, proprietary, or sensitive information shared during the course of the engagement. This obligation survives the termination of the service relationship. ePropel Digital will not disclose client business information to third parties without consent, except where required by law or necessary to deliver the agreed services.
9. Website Use
9.1 Permitted Use
You may use the ePropel Digital website for lawful purposes only. You agree not to:
- Use the site in any way that violates applicable laws or regulations
- Transmit unsolicited or unauthorized advertising or spam
- Attempt to gain unauthorized access to any part of the website or its systems
- Introduce malware, viruses, or any other harmful or disruptive code
- Scrape, harvest, or collect data from the website without prior written permission
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
9.2 Third-Party Links
The website may contain links to third-party websites. ePropel Digital is not responsible for the content, privacy practices, accuracy, or availability of external sites. Links do not constitute an endorsement of any third-party product, service, or organization.
10. Regulated Industries
ePropel Digital serves clients operating in regulated industries including cannabis, CBD, iGaming, casino, sports betting, and other compliance-sensitive sectors. Clients in regulated industries are solely and exclusively responsible for ensuring their business activities, content, marketing materials, and use of our services comply with all applicable laws, regulations, licensing requirements, and platform policies in every jurisdiction in which they operate.
ePropel Digital does not provide legal, compliance, or regulatory advice. Nothing in our services, deliverables, strategies, or communications constitutes legal guidance. Clients are strongly advised to seek qualified legal counsel for all compliance and regulatory matters. ePropel Digital accepts no liability for any regulatory action, platform restriction, penalty, or loss arising from a client’s use of our services in regulated industries.
11. Use of AI Tools
ePropel Digital may use artificial intelligence tools and platforms to assist in the delivery of certain services including content creation, research, analysis, and strategy development. All AI-assisted work is reviewed and supervised by our team prior to delivery. Clients who have specific restrictions on the use of AI tools in their engagement must notify us in writing prior to commencement of work.
12. Disclaimer of Warranties
The ePropel Digital website and services are provided on an ‘as is’ and ‘as available’ basis. To the maximum extent permitted by applicable law, ePropel Digital disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
13. Limitation of Liability
To the maximum extent permitted by applicable law, ePropel Digital Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities.
Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to ePropel Digital in the three months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless ePropel Digital Inc., its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your use of our website or services
- Your violation of these Terms and Conditions
- Your violation of any applicable law, regulation, or third-party rights
- Any content, information, or materials you provide to ePropel Digital
- Your operation of a business in a regulated industry
15. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, it shall be submitted to binding arbitration in Alberta, Canada, in accordance with applicable arbitration legislation. Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
16. Changes to These Terms
ePropel Digital reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
17. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms and Conditions, together with any applicable Service Agreement, proposal, or statement of work, constitute the entire agreement between you and ePropel Digital with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
