1. Definitions
In these Terms and Conditions, the following definitions apply:
- "ePropel" means ePropel Digital Inc., a corporation incorporated under the laws of Alberta, Canada.
- "Partner" means the individual or company participating in the Growth Partner Program under these Terms.
- "Referral" means a business or individual introduced to ePropel by the Partner for the purpose of engaging ePropel's services.
- "Referred Client" means a Referral who has entered into a paid service agreement with ePropel.
- "Closing Bonus" means the one-time payment made to the Partner upon a Referral becoming a Referred Client.
- "Recurring Commission" means the ongoing monthly payment made to the Partner based on an active Referred Client's monthly contract value.
- "Active Client" means a Referred Client currently engaged in a paid service agreement with ePropel with no outstanding overdue invoices.
- "Partner Agreement" means the Referral Partner Agreement signed between ePropel and the Partner prior to any commission payments being issued.
- "Program" means the ePropel Growth Partner Program described on this page and governed by these Terms.
- "Contract Value" means the original monthly retainer fee stated in the Referred Client's service agreement at the time of signing, excluding taxes, setup fees, and any variable or one-time charges.
2. Eligibility and Enrolment
2.1 Eligibility
Participation in the Program is open to individuals and companies who meet all of the following criteria:
- Are at least 21 years of age, or the minimum legal age in their jurisdiction, whichever is lower
- Have legal capacity to enter into a binding agreement
- Are not employees, directors, officers, or contractors of ePropel Digital Inc.
- Do not operate a business that directly competes with ePropel's core SEO services
- Are not subject to any legal or regulatory restriction that would prevent participation
2.2 Language Requirement
ePropel delivers all services exclusively in English. Partners may only refer businesses that operate primarily in English. ePropel is unable to accept referrals of businesses that require service delivery, content, strategy, or communication in any language other than English. It is the Partner's responsibility to confirm the language requirements of any Referral prior to submission.
2.3 Enrolment
To participate in the Program, the Partner must execute a Referral Partner Agreement with ePropel. No commissions or bonuses will be paid prior to the execution of a valid Partner Agreement. ePropel reserves the right to decline any application for participation at its sole discretion without obligation to provide reasons.
3. Referral Process
3.1 Making a Referral
A Referral must be submitted to ePropel via one of the following methods:
- Direct email introduction to contact@epropel.ca
- Submission through ePropel's designated referral form on the website
- Introduction made during a call or meeting with an ePropel representative, confirmed in writing within 48 hours
3.2 Referral Attribution
A Referral will be attributed to a Partner only if:
- The Referral has not previously been in contact with ePropel through any channel
- The Referral has not been introduced by another Partner or source within the preceding 90 days
- The Partner submits the Referral prior to any direct contact between the Referral and ePropel
- The Partner is in good standing under these Terms at the time of submission
- The referred business operates primarily in English
In the event of a dispute regarding attribution, ePropel's determination shall be final.
3.3 No Exclusivity
ePropel reserves the right to engage with any business through any channel. Attribution of a Referral does not create any exclusive arrangement or obligation for ePropel to reject leads from other sources.
4. Closing Bonus
4.1 Eligibility for Closing Bonus
The Partner becomes eligible for the Closing Bonus when all of the following conditions are satisfied:
- The Referral has been validly attributed to the Partner in accordance with Section 3.2
- The Referral has executed a paid service agreement with ePropel
- The Referred Client's first invoice has been paid in full and funds have cleared and settled in ePropel's account
- The Partner has executed a valid Partner Agreement
4.2 Closing Bonus Amount
The Closing Bonus is $250 CAD, or the equivalent value in the Partner's agreed payment currency based on the exchange rate at the time of payment. The Closing Bonus is a gross amount. The Partner is responsible for any applicable taxes, fees, or withholding obligations in their jurisdiction.
4.3 One Bonus Per Referral
Only one Closing Bonus is payable per Referred Client, regardless of the number of services engaged.
5. Recurring Commissions
5.1 Commission Structure
- Months 3 to 12: 10% of the original monthly Contract Value per month
- Month 13 onward: 5% of the original monthly Contract Value per month
Commissions begin from Month 3 of the Referred Client's engagement. No commissions are payable for Months 1 and 2.
5.2 Commission Basis
Recurring commissions are calculated on the original monthly Contract Value at the time the Referred Client's service agreement was signed. Commission amounts are not adjusted for price increases, upgrades, or additional services after signing, unless otherwise agreed in writing.
5.3 Active Client Requirement
Recurring commissions are payable only while the Referred Client remains an Active Client of ePropel. Commissions cease immediately if the Referred Client cancels their agreement, has overdue invoices exceeding 30 days, or is suspended from ePropel's services.
5.4 No Commission on Refunds
If a Referred Client receives a full or partial refund, the corresponding commission will be adjusted or clawed back accordingly. If the commission has already been paid, ePropel may offset the overpayment against future amounts owing.
6. Partner Tiers
6.1 Tier Structure
- Standard (1–2 active clients): Standard commission rates as described in Section 5.1
- Silver (3–6 active clients): Standard commission rates plus an additional 2% per month per active Referred Client
- Gold (7 or more active clients): Standard commission rates plus an additional 3% per month per active Referred Client
6.2 Tier Calculation
Tier level is assessed monthly based on the number of Active Clients at the time of commission calculation. Tier increases are applied prospectively and do not apply retroactively.
7. Payment of Commissions
7.1 Payment Schedule
Commissions and Closing Bonuses are calculated and paid monthly. Payment is issued only after the corresponding Referred Client payment has been received in full, cleared, and settled in ePropel's account. ePropel targets payment within 15 business days of the end of each calendar month.
7.2 Minimum Payment Threshold
ePropel reserves the right to hold commission payments until the cumulative unpaid balance reaches a minimum of $50 CAD or equivalent. Balances below this threshold will be carried forward to the following month.
7.3 Payment Methods
- Direct deposit (CAD) — Canada
- ACH transfer (USD) — United States
- SEPA bank transfer (EUR) — Europe
- GBP bank transfer — United Kingdom
- AUD bank transfer — Australia
- Wise transfer or SWIFT — International
7.4 Currency and Exchange Rates
Commissions are calculated in Canadian Dollars (CAD). Where payment is made in another currency, conversion is applied at the prevailing mid-market exchange rate at the time of payment. ePropel accepts no liability for currency fluctuations.
7.5 Taxes and Withholding
All payments are gross amounts. The Partner is solely responsible for all taxes, withholding obligations, and reporting requirements applicable in their jurisdiction. Corporate Partners may submit invoices for commission payments where required.
8. Partner Obligations
By participating in the Program, the Partner agrees to:
- Represent ePropel's services accurately and in good faith at all times
- Not make any representations beyond what is published on ePropel's official website
- Only refer businesses that operate primarily in English
- Not use ePropel's name, logo, or brand assets without prior written approval
- Disclose their participation in the Program to Referrals where required by applicable law
- Maintain compliance with all applicable laws and regulations in their jurisdiction
- Promptly notify ePropel of any conflict of interest in connection with a Referral
9. Prohibited Conduct
The following conduct will result in immediate termination and forfeiture of any unpaid commissions:
- Self-referral or referral of entities owned or controlled by the Partner
- Collusion with any Referred Client to artificially trigger commission payments
- Misrepresentation of ePropel's services, pricing, results, or capabilities
- Use of spam, unsolicited communications, or deceptive advertising to generate Referrals
- Referring businesses the Partner knows do not operate primarily in English
- Any conduct that brings ePropel's reputation into disrepute
10. Intellectual Property
Nothing in these Terms grants the Partner any right, title, or interest in ePropel's trademarks, logos, brand assets, or intellectual property. Any use of ePropel's brand materials requires prior written approval on a case-by-case basis.
11. Confidentiality
The Partner agrees to keep confidential all non-public information shared by ePropel in connection with the Program, including commission structures, client information, business strategies, and pricing details. This obligation survives termination of Program participation.
12. Program Modifications and Termination
12.1 Program Changes
ePropel reserves the right to modify, suspend, or terminate the Program, or amend these Terms, at any time with 30 days written notice to active Partners. Changes will not affect commissions already earned prior to the notice date.
12.2 Termination by ePropel
ePropel may terminate a Partner's participation immediately without notice in the event of a material breach of these Terms, any prohibited conduct described in Section 9, or conduct that ePropel reasonably determines is harmful to its reputation or business.
12.3 Termination by Partner
The Partner may withdraw from the Program at any time by providing 30 days written notice via email. Commissions earned prior to the effective withdrawal date will be paid in accordance with the normal payment schedule.
12.4 Effect of Termination
Upon termination, all unpaid commissions earned in respect of completed commission periods prior to termination will be paid in accordance with the normal schedule, unless termination was due to prohibited conduct or material breach by the Partner, in which case all outstanding commissions are forfeited.
13. Limitation of Liability
To the maximum extent permitted by applicable law, ePropel's total aggregate liability to the Partner shall not exceed the total commission amounts paid to the Partner in the three months immediately preceding the event giving rise to the claim. ePropel shall not be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of anticipated commissions or business opportunity.
14. Indemnification
The Partner agrees to indemnify, defend, and hold harmless ePropel Digital Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from the Partner's breach of these Terms, misrepresentation of ePropel's services, or violation of any applicable law in connection with the Program.
15. Independent Contractor
The Partner is an independent contractor. Nothing in these Terms creates an employment relationship, agency, joint venture, partnership, or franchise between ePropel and the Partner. The Partner has no authority to enter into agreements or make representations on behalf of ePropel.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute shall first be subject to good-faith negotiation. If unresolved within 30 days of written notice, the dispute shall be submitted to binding arbitration in Alberta, Canada.
17. Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the executed Partner Agreement, constitute the entire agreement between ePropel and the Partner with respect to the Program.
